2021 Governance and HR Committee Nominating Report

The Governance and HR Committee strives to create a nominating process that is inclusive of the Members of CPHR Saskatchewan and ensures the ongoing alignment and successful governance for the organization. The committee sought expressions of interest from Members of the Association who wished to be considered for nomination to the Board. Nominations closed June 14, 2021.

When proposing nominees for election to the Board, the Governance and HR Committee considers the following: membership in good standing with CPHR Saskatchewan, CPHR designation, previous board experience (on the CPHR Saskatchewan Board or on the board of directors of other organizations), commitment to CPHR Saskatchewan, legal and financial expertise, governance and legislative experience, diversity factors, in addition to such personal characteristics as strategic vision and leadership capabilities.  

CPHR Saskatchewan’s Administrative Bylaws provide for a Board comprised of a minimum of six and a maximum of 14 Directors.  As of June 2021 the CPHR Saskatchewan board consists of 14 Directors.

Current Board Directors
In accordance with the Bylaws, the following Directors are within their approved terms of office and will be continuing on the Board:

• Jordan Czarnecki, BBA
• Jeff Hepp, B.Comm., CPHR
• Shauna Flaman, BBA, CPHR
• Kathy McCrum, BBA, CPHR
• Leah Regent, CPHR
• Jill Salamon, CPA, CA, CPHR
• Lionel Tootoosis, MBA, CPHR

Chair, Tamara Therrien, CPHR has completed her first year of a two-year term.

Director Lee Knafelc, CPHR will be moving into the role of Chair-Elect, as of the AGM in September 2021.

Past-Chair, Gary Mearns, CPHR has completed his term and will be leaving the Board as of the AGM in September 2021.
 
Directors, Shannon Whyley, Mark Hillmer and Renee LaPlante have completed their terms on the board and will be leaving the Board as of the AGM in September 2021

The Nominating Committee is recommending the election of Directors, such that the Board be comprised of a total of 12 Directors for the 2021-2022 year. The Governance and HR Committee considered The Chartered Professional in Human Resources Act Article 9 1) which states, The Lieutenant Governor in Council may appoint two persons who reside in Saskatchewan as members of the board. As such, the Governance and Human Resources Committee deemed a Board comprised of 12 Directors with the possibility of 2 public appointees for a total of 14 was appropriate.

Proposed Slate of Candidates – AGM 2021
The Governance and HR Committee is pleased to recommend the following candidate for re-election. This candidate is a current Board member and is eligible for re-election pursuant to the Administrative Bylaws, and whose name will be included on the formal slate of candidates presented to the membership at the AGM in September 2021:

1. Sarah Johnston, B.Comm., CPHR

The Governance and HR Committee is pleased to recommend the following candidates for election to a 2-year term, and whose names will be included on the formal slate of candidates presented to the membership at the AGM in September 2021:

2. Amy Gibson, LLB
3. Mindy Gudmundson, CPA, CA, CPHR

As per the Administrative Bylaws Article 9.8, nominations for election as Director may not be made at the Annual General Meeting at which the election will be held or elected Directors will be declared.

Notice of the Annual General Meeting and all correspondence will be sent to the membership no later than Thursday, Aug. 26, 2021.

Motion at the Annual General Meeting:
To approve the board nominees for the 2021/2022 year.
