Special Meeting of the Members - November 22, 2022

NOTICE OF SPECIAL MEETING OF CHARTERED PROFESSIONALS IN HUMAN RESOURCES OF SASKATCHEWAN CORPORATION (The "Corporation")

The directors hereby call a Special Meeting of the Members to be held on November 22, 2022, at 6:00 pm at the Sheraton Cavalier located at 612 Spadina Crescent East, Saskatoon, SK S7K 3G9. This meeting coincides with the 2022 Member Reception. 

The purpose of the said meeting is to consider and, if thought fit, to pass resolutions to approve the dissolution of the Corporation as of January 31, 2023. On a go forward basis, the association will operate as a professional association under the name Chartered Professionals in Human Resources Saskatchewan.

The special resolutions to be considered at the Special Meeting are as follows:

1. The directors of the Corporation are hereby authorized to cause the Corporation to distribute any property and discharge any liabilities of the Corporation.
2. The Corporation be dissolved under section 192(3) of The Non-profit Corporations Act, 1995 (Saskatchewan) as of January 31, 2023.
3. After dissolution, the books and records of the Corporation shall be kept by Nicole Norton Scott, CEO/Registrar for Chartered Professionals in Human Resources Saskatchewan at #210-3501 8th Street East, Saskatoon, SK S7H 0W5.
4. The directors of the Corporation are hereby authorized and directed to do all things and execute all documents as may be necessary to effect the dissolution of the Corporation.
5. Robertson Stromberg LLP, Solicitor for the Corporation, is authorized to file the Articles of Dissolution with the Saskatchewan Corporate Registry.
