CMPC's Softys to Acquire Brazilian Tissue Producer Carta Fabril for $197 million

According to Fastmarkets RISI, Tissue producer Softys, a subsidiary of Chile's CMPC, has agreed to purchase all of the shares of Brazilian non-integrated tissue producer Carta Fabril.

Carta Fabril owns two plants - one in the state of Goias and another in the state of Rio de Janeiro - with capacity to produce 100,000 metric tons of tissue annually. The company also has nine personal care production lines that include baby diapers, adult diapers, feminine care products and wipes.

Carta Fabril is a leader in the sale of tissue paper in the southeast of Brazil under renowned brands such as Cotton, according to CMPC.

If the transaction is completed, Softys Brazil will have installed capacity of 380,000 tonnes per year of tissue paper combined with its existing operations in the states of Sao Paulo and Paraná.

The transaction is subject to several usual conditions, such as authorization from the Administrative Council for Economic Defense (Cade). The price agreed for the Carta Fabril shares is 1.13 billion reais ($197 million), which will be paid at the transaction closing. CMPC expects the deal to be completed within the next 150 days.
