Regal Beloit Corporation and Rexnord Corporation have reached a definitive agreement whereby Rexnord will separate its Process & Motion Control (PMC) segment by way of a tax-free spin-off to Rexnord shareholders and then immediately combine it with Regal in a Reverse Morris Trust (RMT) transaction. Regal shareholders will own 61.4% and Rexnord shareholders will own 38.6% of the combined entity (New Regal), before a potential dividend to Regal shareholders and a corresponding ownership adjustment to Rexnord shareholders, sized at closing to ensure that RMT ownership requirements are met. Rexnord shareholders will continue to own 100% of the businesses' Water Management platform.

Nidec Corporation announced that its Board of Directors has approved a resolution to acquire: the shares of Mitsubishi Heavy Industries Machine Tool Co., Ltd. a company that designs, manufactures, and sells machine tools, cutting tools, and related products from Mitsubishi Heavy Industries, Ltd.; all the Mitsubishi Heavy Industries Group-owned shares of three overseas subsidiaries specialized in machine tool business; and the machine tool business run by nine overseas subsidiaries.

New York manufacturing activity grew at its fastest pace in months in February. The New York Fed said its general business conditions index jumped to 12.1 in February from 3.5 in January, with a positive reading indicating growth in regional manufacturing activity. Economists had expected the index to rise to 6.0.

Hyundai Motor announced that it is no longer in talks with Apple to build the technology company’s planned autonomous electric vehicle. After a month of talks between the two companies, it seems that the deal created a stir within Hyundai’s executive ranks over concerns about the automaker becoming a builder of Apple products.

A month after registering its Indian subsidiary under the name Tesla India Motors and Energy Private Limited, the Karnataka chief minister B S Yediyurappa has announced that the brand will begin a manufacturing unit in a new economic corridor on the outskirts of Bengaluru.

BorgWarner Inc. has agreed to buy Germany’s Akasol AG to significantly expand its commercial vehicle electrification capabilities. The $915 million deal (including absorbing Akasol’s debt) gives BorgWarner technology and production capabilities for customizable battery packs for buses, commercial vehicles, rail vehicles, industrial vehicles, ships and boats.

Dana Incorporated has introduced a new drivetrain for rough-terrain cranes with life capacities from 83 to 110 tons and terminal tractors. The Spicer 246 heavy-duty axle and Spicer C3300 remote torque converter are offered as part of a complete drivetrain solution for rough-terrain cranes that delivers premium performance through improved gradeability and trave speeds higher efficiency in the field increased productivity and reduced operating costs.

Power management supply giant Eaton has begun 2021 with a bang, announcing two major acquisitions within a four-day stretch. The Dublin, Ireland-based company has signed an agreement to acquire Cobham Mission Systems (CMS), a major supplier of air-to-air refueling systems, environmental systems and actuation primarily for defense markets. Eaton will pay $2.83 billion for CMS, which includes $130 million in tax benefits.

Daimler Trucks North American subsidiary Detroit (Formerly Detroit Diesel) will make the Detroit ePowertrain to power the upcoming Freightliner eCascadia and Freightliner eM2 commercial electric vehicles (EVs). The $20 million investment is part of Daimler Trucks’ global platform strategy to establish a uniform basic architecture for a broad line-up of EVs.
