Rona denies newspaper report that it has received takeover offer from Lowe's

MONTREAL - Rona has denied a newspaper report that it has received a takeover offer from Lowe's Companies or has held discussions with its U.S.-based rival.

"Rona has not received any proposal of any kind from Lowe's and there have been no discussions between the two companies on this subject," the Quebec-based company said Monday, days after Robert Dutton suddenly stepped down as CEO amid weak results, prompting some investors to urge the two sides to open talks.

Boucherville, Quebec, November 9, 2012 – Mr. Dominique Boies, Executive Vice President and Chief Financial Officer will be acting CEO. The Board of Directors has given a mandate to the firm Korn/Ferry International to find a successor to Mr. Dutton.

Mr. Dutton joined RONA in 1977 and became President and Chief Executive Officer in 1992. Under his direction, RONA expanded beyond its original market, which had until then been limited to Quebec, and became the leader in the Canadian home improvement market. During Mr. Dutton’s twenty years at the helm, RONA’s consolidated sales increased from $450 million to over $4.8 billion and the RONA chain grew from less than 500 affiliated stores to over 800 corporate, franchised and affiliated stores. Under Mr. Dutton’s direction, RONA has become a recognized leader in sustainable development in Canada.

"Robert was a pioneer and has been an inspiration for generations of merchants, managers and employees at RONA, said Robert Paré, Chairman of the Board. The Board wishes to express its gratitude for his enormous contribution to the Corporation’s development. We wish him every success in his future endeavours.

"We are proud of the 30,000 employees who represent RONA across Canada and we are confident that they will continue to offer excellent service to the millions of consumers who frequent our stores daily", added Mr. Paré.

DRUMMONDVILLE, QC, Nov. 5, 2012 /CNW Telbec/ - SOPREMA, which has its North American head office located in Drummondville, has owned 50% of CONVOY shares since 2001. With this full acquisition, the company adds another key component to its business strategy. Remaining true to its corporate philosophy, SOPREMA will encourage CONVOY to evolve as an independent entity.

Founded in 1972, the CONVOY company was established in British Columbia, and then expanded across Canada and the United States. The company now has 39 sales points and 735 employees. Its 2011 revenue was about $550 million.

This acquisition will allow SOPREMA to strengthen its means pertaining to product offering and to add to its expertise, business development and human capital.

SOPREMA is entrusting CONVOY leadership to Ms. Alma Garnett, who brings 25 years of experience in the field of building materials to the company. Ms. Garnett previously worked for Hunter, a subsidiary of Carlisle, specializing in thermal insulation.
