Georgia-Pacific LLC, Atlanta, Ga., USA, reports that GP Cellulose Group, an entity it controls, has chosen to convert to a "long form" merger in the pending acquisition of Buckeye Technologies Inc., Memphis, Tenn., and to terminate the previously announced tender offer in accordance with the merger agreement with Buckeye Technologies. G-P and GP Cellulose have chosen to convert to the merger as a result of the previously announced second request from the Department of Justice regarding the nonwovens business. The "long form" merger affords Buckeye Technologies' shareholders the opportunity to vote to approve the merger.

Under the merger agreement announced April 24, Buckeye Technologies has agreed to hold a special meeting of its shareholders promptly to consider and vote on adoption of the merger agreement. Adoption of the merger agreement requires the affirmative vote of at least 75% of the outstanding shares of Buckeye Technologies' common stock. Subject to the receipt of shareholder approval and the satisfaction or waiver of the other conditions to the merger, Buckeye Technologies' shareholders will receive $37.50 in cash per share in the merger, the same price they would have received in the tender offer.

The previously announced tender offer by GP Cellulose Group for all of the outstanding shares of common stock of Buckeye Technologies expired at 5:00 p.m., New York City (Eastern) time, on Tuesday, June 25. At the expiration of the tender offer, due to pending regulatory review, conditions related to expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, and the receipt of other required regulatory approvals, had not been satisfied, G-P reports.

American Stock Transfer & Trust Company (AST), the depositary for the tender offer, advised G-P that at the expiration of the tender offer, approximately 33,379,812 shares had been validly tendered and not properly withdrawn in the offer. This represents approximately 83% of the 40,127,758 shares of Buckeye Technologies' common stock deemed issued and outstanding, on a fully-diluted basis, as of June 25.

Verso Paper Corp., Memphis, Tenn., USA, reports that the New York Stock Exchange will commence proceedings to delist its common stock due to the company's failure to satisfy the NYSE's continued listing standard relating to market capitalization. As previously reported, on December 21, 2011, the NYSE initially notified Verso that it had fallen below the NYSE's continued listing standard relating to market capitalization. To maintain the listing, the NYSE requires that Verso have an average market capitalization over a consecutive 30-trading-day period of at least $75 million.

On February 6, 2012, Verso submitted to the NYSE a plan to achieve compliance with the market capitalization standard within 18 months after the initial notice from the NYSE, and the NYSE notified Verso of its approval of the plan on March 16, 2012. Verso's market capitalization exceeded the $75 million requirement during much of the 18-month plan period; however, it was not able to maintain such level at the end of the plan period as required by the NYSE. As of this past June 21, the last day of the plan period, Verso's 30-trading-day average market capitalization was $60.5 million.

Under the NYSE's rules, Verso has the right to a review of the NYSE staff's delisting determination by a committee of the board of directors of the NYSE. Verso has notified the NYSE that it intends to seek such review. Verso expects that the NYSE will permit the common stock to continue trading on the NYSE during the review process.

Verso is a producer of coated papers, including coated groundwood and coated freesheet, and specialty paper products. Its paper products are used primarily in media and marketing applications, including magazines, catalogs, and commercial printing applications such as high-end advertising brochures, annual reports, and direct-mail advertising.

Wood chips are one of the few forest products commodities that have seen a steadily increasing trend in globally traded volumes the past decade, according to the Wood Resource Quarterly (WRQ), Seattle, Wash., USA. With the exception of 2009, when global production of pulp fell by about 10% and the demand for wood fiber was down, international trade of wood chips has increased every year from 2000 to 2011, WRQ notes.

From 2009 to 2012, global chip trade increased by 6.5 million tons to just over 31 million tons, valued at more than $5 billion, slightly below the all-time high reached in 2011. Much of the increase in chip imports has been because of the expansion of MDF production capacity in Turkey and due to major investments in pulp capacity in China.

The top ranking of chip-importing countries has changed quite considerably the past five years. Although Japan is still, by far, the largest chip importer in the world, import volumes have declined from a record-high of almost 15 million tons in 2008 to just over 11 million tons in 2012. China, on the other hand, has gone from being a net exporter of chips less than 10 years ago to become the second largest importer of wood chips in the world.

With the expansion of pulp production capacity in China and the lack of domestic fiber sources, it is likely that China will surpass Japan as the world largest chip importer within two to three years. Japan and China are the two dominant consumers of globally traded chips. Their dominance is particularly accentuated for hardwood chips, where they imported 83% of the world's total imports in 2012.

Pulp mills in Finland, the third largest chip importer, have for a long time relied on residual chips from Russian sawmills with close proximity to the border and on chips from the Baltic States, as reported by the WRQ. This trade has increased in recent years. The fourth on the import ranking list for 2012 is Turkey, which has become a major chip destination in just the past few years.

It is likely that global trade of wood chips will continue to go up in the coming years for two main reasons—there are limited forest resources in some of the countries that are expanding industry capacity, and some forest companies are making the strategic decision to diversify their supply sources and import wood chips rather than procure marginal fiber supplies locally, according to the WRQ.

BillerudKorsnäs, Sweden, has ordered from Metso, Finland, a cooking plant rebuild, a brown stock washing plant, and a screening plant for its mill in Gruvön, Sweden. Startup of the rebuilt cooking plant and brown stock washing plant is planned for May 2014 and the screening plant is scheduled to come online in May 2015. The value of the order was not disclosed.

"The rebuilt cooking plant together with the new brown stock washing plant will more efficiently utilize the wood raw material and lower the chemical consumption in the pulping process. In addition, the cooking plant rebuild and the new screening plant will substantially lower the energy consumption within the process area," said Alf Sondell, production manager at BillerudKorsnäs, Gruvön mill.

Metso's scope of supply will include a rebuild of the existing cooking plant to feature a CompactCooking G2 digester. The delivery also will include a new ImpBin chip impregnation system, a new pressure diffuser, and a screening plant.

BillerudKorsnäs, formed in 2012, has eight production facilities and sales offices in 10 countries. It has about 4,400 employees. The Gruvön mill's production capacity is 685,000 metric tpy and it produces kraft paper, sack paper, containerboard (fluting, liner), liquid carton board, cup stock, and market pulp.

CMPC Celulose Riograndense S.A. (CMPC), Brazil, has finalized an agreement for Metso, Finland, to supply the key technology for its Guaíba II pulp line in Brazil. Total value of the project is around EUR 800-900 million, of which some EUR 400 million consists of Metso's own equipment and systems.

The new pulp line, which is an expansion of the existing Guaíba pulp mill, will have a capacity of 1.3 million metric tpy, and will be able to reach 1.5 million metric tpy with minor investments. The new pulp line will be built in the state of Rio Grande do Sul in southern Brazil and is scheduled to be commissioned in the first half of 2015.

Metso's delivery will include the main parts of the pulp line: the cooking plant and fiberline, pulp drying and baling, evaporation, a recovery boiler, causticizing and lime kiln, an integrated automation solution, and an operator training simulator for all mill process areas.

The order will be supplied by Metso's units in Europe and Brazil. The total impact on employment will be approximately 300 man-years in the Metso group and, during the peak of construction, approximately 4,000 people will be working for Metso at the construction site.

"The confirmation of the agreement concludes an important stage in the construction process of this new pulp mill in Brazil. This is a significant step in the consolidation of a project involving a lot of people and resources. Guaíba II is a project in which many people have worked professionally and tirelessly. Metso's professionalism and commitment to health and safety was a key element for CMPC during the decision process," said Gonzalo García, general secretary, Empresas CMPC.

CMPC Celulose Riograndense is part of the Chilean group CMPC Celulosa, one of the largest forestry-based companies in Latin America. Its mills in Chile and Brazil produce around 2.8 million metric tpy of pulp.

Domtar Corp., Montreal, Que., Canada, this past week released its 2012 Sustainable Growth Report, providing a Year-1 update on its 2020 sustainable business roadmap. Progress is being tracked through a framework of 35 key performance indicators that cover the range of the company's sustainability efforts, from increasing production efficiency and environmental footprint reductions to promoting the development of employees, serving customers better, and contributing more effectively to host communities.

The report highlights a long list of Year-1 achievements: the company's best year on record for health and safety performance; close to 85% renewable energy use; decreasing greenhouse gas emissions intensity; and increasing FSC certified fiber use. Additional focus in the report is also given to innovations that have resulted in almost half of what was previously considered mill by-product "waste" now providing economic value through beneficial re-use; greater employee engagement around sustainable business issues; and Domtar's deep connections to local communities.

"From paper communication that helps inform, entertain, and connect us, to personal care products that provide hygienic solutions and dignity and quality of life to families, the promise of quality and sustainability that we bring to the world is unwavering," noted John D. Williams, Domtar's president and CEO. "We encourage our stakeholders to have a look for themselves at the progress we've made already and also where we've still got work to do—we need your input on this long-term journey."

Domtar produces a wide variety of fiber-based products including communication papers, specialty and packaging papers, and adult incontinence products. The foundation of its business is a network of world class wood fiber converting assets that produce paper grade, fluff, and specialty pulps. The majority of its pulp production is consumed internally to manufacture paper and consumer products. Domtar is the largest integrated marketer of uncoated freesheet paper in North America. Ilim Group, St. Petersburg, Russia, has officially inaugurated its new pulp mill in Bratsk (Irkutsk Oblast), the largest investment project completed in the Russian pulp and paper industry over the past 30 years, and the world's largest fiberline. A symbolic "key turning" ceremony was attended by Dmitry Medvedev, Russian prime minister, Zakhar Smushkin, chairman of the board of directors of Ilim Group, John Faraci, chairman and CEO of International Paper, Memphis, Tenn., USA (co-owner of Ilim Group), and Sergey Eroschenko, governor of the Irkutsk Oblast.

Total investments in the Big Bratsk project exceeded $800 million. Annual capacity of the new fiberline after ramp-up will reach 720,000 metric tons of bleached softwood market pulp, with the total annual pulp and paper products output of the Bratsk Mill of OJSC Ilim Group exceeding 1 million metric tpy.

This successfully completed project will make the Bratsk Mill more efficient and more environmentally friendly, Ilim notes. In addition to the construction of a new fiberline, the project involved the upgrade of the infrastructure, including construction of a new recovery boiler, new woodyard, new chemicals preparation plant, etc.

In his speech, Medvedev congratulated participants of the inaugration ceremony with a startup of the new fiberline. "This is an important and long-awaited event. This industry has not seen such large investments over a long time, and this is a remarkable milestone for the entire industry," said the prime minister. "The Big Bratsk project is a good example of well-coordinated efforts of business community and regional and federal authorities."

Smushkin said that "we have completed an ambitious project. Rebuild of the Bratsk Mill will give a new impetus to the development of the mill, the city, and the region as a whole. New high-qualified jobs have been created together with new opportunities for implementation of social programs. In the immediate future, we will be learning to ramp up the new fiberline. I would like thank all those who have been involved in the implementation of the project—our mill employees, our contractors, and all vendors who have worked with us."

Faraci added that "we have planned large-scale investments and have completed our plans. I believe that Ilim Group is a spectacular and unique example of a joint venture in this industry. It sets an example of how two international companies may come together and collaborate. To bring this project into life, we needed a joint venture and a true partnership."

International Paper, Memphis, Tenn., USA, has published its 2012 Sustainability Report, showing progress against voluntary goals including certified fiber use, greenhouse gas (GHG) emission reductions, and water quality improvement. • A 15% reduction in criteria pollutant emissions through energy savings and fuel mix changes. This significant reduction exceeds the company's overall 2020 reduction target.
  • Achieving a 27% reduction in oxygen depleting substances in water released from mill operations, which exceeds the company's 2020 water quality goal.
  • Boosting purchases of third party certified fiber by 18%, exceeding IP's 15% goal for 2020.
  • A 30% drop in life-changing injuries and fatalities between 2010 and 2012.

The report also highlights groundbreaking collaborations with prominent sustainability organizations including the World Wildlife Fund (WWF), the World Business Council for Sustainable Development (WBCSD), and the National Fish and Wildlife Foundation. Collaborations for 2012 and early 2013 include:

  • Joining the CEO-led World Business Council for Sustainable Development and its Forest Solutions Group where IP will provide global business leadership in expanding sustainable forestry.

Tissue producer Von Drehle Corp., Hickory, N.C., USA, says that its Natchez, Miss., plant will be the company's only "all-under-one-roof" facility. The operation will have pulp converting and tissue paper manufacturing capabilities, the company's only plant to have both, according to a report this past week by the Natchez Democrat. Reportedly, the mill has already started producing pulp and hopes to be converting tissue products by the end of this year.

Von Drehle announced in January of this year that it would locate manufacturing facilities in Natchez, on the site of the former Mississippi River Pulp mill it just acquired. Mississippi River had closed its doors in November 2012. Von Drehle said at that time that it expected to create at least 100 new jobs at the site in Natchez. The facility currently has some 30 employees, and prior to the Mississippi River shutdown had about 80. A company spokesperson stated in the Natchez Democrat article that Von Drehle has already started producing pulp products.

The company will soon install converting equipment, the newspaper report said, to produce the final products. The equipment will take parent rolls, up to 92 in. in diameter, and roll them to make a log on a core. The rolls then will go down an assembly line where they are cut and eventually packaged and sold.

In a first for the carton packaging industry, Tetra Pak, Lausanne, Switzerland, this week announced that it will sign an agreement with Braskem, São Paulo, Brazil, the largest thermoplastic resins producer in the Americas, for the supply of low-density polyethylene (LDPE) made from sugar cane to its packaging material factories in Brazil. This initiative, which will be limited in scope to Brazil only for the duration of the trial, is scheduled to start during the first quarter of 2014.

According to the plan, Tetra Pak will use bio-based LDPE as a component of its packages produced in Brazil. The planned move to bio-based LDPE means that 100% of Tetra Pak packages produced in Brazil, about 13 billion, will have up to 82% packaging material from renewable sources.

"The new agreement to be signed with Braskem demonstrates our commitment to bring environmental innovations to our customers and is a further step in our journey to develop fully renewable packages," said Tetra Pak President and CEO Dennis Jönsson.

Braskem will use ethanol derived from sugar cane to produce ethylene, which will then be converted into LDPE. The LDPE made from renewable sugar cane has the same technical properties as LDPE made from fossil sources, and the environmental benefits of being from a renewable source. Braskem biopolymers are known under the trademark "I'm green."

"The new bio-based I'm green LDPE is as inert, resistant, and recyclable as the polyethylene made from fossil sources but, contributes to the reduction of greenhouse gas emissions by absorbing carbon dioxide from the atmosphere during the sugar cane growth process," said Braskem President Carlos Fadigas. "The expansion of the green products line reinforces our commitment to adding value through sustainable development for the value chain."

Southern pine oxygen delignified pulps produced in a Berty throughflow reactor: How to obtain the highest degree of delignification while maintaining pulp yield and quality

Originally published in March 2012 issue of TAPPI Journal, this unique study employs a Berty through-flow reactor – a technology traditionally used for catalytic studies in the petrochemical industry – to show how environmentally-friendly oxygen delignification technology can attain >60% delignification without impacting the strength and physical properties of fibers. Unlike batch reactors, the Berty reactor keeps alkali concentration low and uniform through a continuous resupply, allowing a higher degree of delignification without cellulose damage. Application of this technology opens possibilities similar to injection of white liquor at different locations in kraft cooking, and a patent was recently filed for a version of this technology, with a potential to influence current oxygen delignification reactor design.

Winding Machines and Measurements

Item Number: 0102B068

Non-member: $229 / Non-member Sale: $160
Member: $154 / Member Sale: $108

Winding Machines: Mechanics and Measurements is the definitive book on the science of winding written by noted experts Dr. David Roisum and Dr. J.K. Good. This three-part book (with supplemental CD-ROM) describes the various classes and arrangements of winding machinery commonly found in the web industries including discussion of controls and defects; describes how roll stresses and roll defects can be predicted by mathematical models and what factors are important; and discusses almost every method for measuring and evaluating wound roll quality. The book describes how and why many wound roll defects occur. In more than a few cases, it even describes when defects occur based on winding models that have matured to the point of trustworthy application. In these cases, we have science at its best, a predictive tool.

A CD with an easy-to-run winding model is included with every book. However, one need not be a scientist to appreciate and use this text. Much of it is written in everyday language describing the machines we work with, the defects we see, and the many measures of roll quality. It is a book that most plants with a winding department would want to have.
