Imperial Sugar Company and Louis Dreyfus Commodities LLC has announced a definitive agreement under which a subsidiary of Louis Dreyfus Commodities LLC will acquire Imperial Sugar through a cash tender offer and second step merger at $6.35 per share. The $6.35 per share represents a 57% premium to Imperial Sugar's closing stock price on April 30, 2012, the last trading day prior to the announcement, and a 50% premium to Imperial Sugar's trailing 30-day volume weighted average stock price.

Fitch Ratings affirms Commonwealth Transportation Board's (CTB or the board) $176.6 million of outstanding federal highway reimbursement anticipation notes (FRANs) at 'AA'. The transportation board also has $297.6 million of grant anticipation revenue notes (GARVEEs) outstanding which are not rated by Fitch. Fitch notes that the pledge of federal reimbursements for the GARVEE notes is subordinate to the pledge for the FRANs. The rating outlook remains stable.

llinois Transportation Secretary Ann Schneider has announced a six-year, $9.2 billion transportation plan that focuses heavily on maintenance. The multi-modal plan for 2013-2018 calls for $2.3 billion less in spending than during last year's six-year plan. Spokesmen for the Illinois Department of Transportation said last year's $11.5 billion plan included funds from the 2009 Illinois Jobs Now capital plan, which has been largely expended. The six-year plan announced in 2010 was $12.84 billion, and the 2009 plan spent a record $14 billion.

Tesoro Logistics LP (NYSE: TLLP) ("TLLP" or the "Partnership") today reported first quarter 2012 net income of $11.6 million, or $0.37 per basic limited partner unit. Distributable cash flow for the first quarter was $13.6 million. On April 20, 2012, the partnership announced its quarterly cash distribution of $11.8 million, or $0.3775 per limited partnership unit, or $1.51 on an annualized basis. This distribution represents a 4% increase over the quarterly distribution of $0.3625 per unit ($1.45 per unit on an annualized basis) paid in February 2012. In the four quarters since its inception, TLLP has increased its distribution to limited partners by 12% on an annualized basis.
